Terms of sale and research use

01Who can buy

You must be at least 21 years old, able to enter a binding contract, and buying for laboratory research, either as a qualified researcher or on behalf of a research organization. We may ask you to confirm your affiliation and may refuse, suspend or cancel any account or order if we believe these conditions aren't met.

02Research use only

Every product is sold strictly for laboratory and analytical research. Our products are not drugs, foods, dietary supplements, cosmetics or medical devices. They are not for human or veterinary use, and they have not been evaluated or approved by the FDA or any other regulator for any use. They are not intended to diagnose, treat, cure or prevent any disease.

Products must be handled only by trained personnel in a suitable facility, following applicable laws, institutional rules and safety practices. Product pages summarize published literature for research context only. Nothing on the Site is a claim that a product is safe or effective for any purpose.

03Your attestation and responsibility

When you register, and again with each order, you confirm that:

• you are buying solely for lawful laboratory research;
• you will not use, sell or give any product for human or animal consumption or any in vivo use;
• you are responsible for safe handling, storage, use and disposal once the order is delivered; and
• you will follow every law and regulation that applies to buying, possessing and using the products.

We record these attestations with a timestamp. Once an order is delivered we have no control over how products are used, and you assume all risk arising from their possession and use.

04Accounts

Accounts require accurate information, including your organization and an email address you control, and email verification before ordering. Keep your password confidential. You are responsible for activity under your account and should tell us promptly about any unauthorized use. Accounts are for one person and can't be transferred.

05Orders, pricing and payment

Prices are in US dollars and can change without notice. The price that applies is the one confirmed when your order is placed. Five or more vials of the same product and size are 15% off that line. On a first order with a referral code, each line gets the larger of the two discounts, not both. An order is a request to buy. We accept it when payment clears, or when we approve a purchase order, and we may decline or cancel any order, for example when stock runs out or a lot fails testing. If we cancel after you've paid, we refund you in full.

We accept the following:

• Venmo. Your confirmation and invoice include a QR code and link with the amount and order number filled in. Orders ship once the payment arrives. Venmo's own terms apply to the payment.
• Card. We email a secure payment link from our payment processor. We never collect or store card numbers on the Site.
• Wire or ACH transfer. Instructions are on your pro forma invoice. Orders ship once funds arrive.
• Purchase order. Available to approved institutional accounts. Net 30 terms are granted at our discretion, and unpaid balances past due may lead us to pause further orders.

Sales tax is charged where required unless a valid exemption certificate is on file with us. You are responsible for any other taxes or fees that apply to your purchase.

06Shipping

We ship within the United States only. Orders ship the same business day when payment clears by 2 pm ET, and the next business day otherwise. Next business day shipping is $45, and free on orders of $500 or more. Standard shipping (2 business days after it ships) is offered on smaller orders. If an order includes a lot still at the testing lab, it ships as soon as that lot's certificate of analysis is posted.

Delivery dates are estimates and not guaranteed. Title and risk of loss pass to you when we hand the package to the carrier. We will still help with carrier claims for packages lost or damaged in transit. Please give an address where someone can receive the package promptly. We aren't responsible for delays or damage caused by an incorrect address or a refused delivery.

07Returns and refunds

All sales are final, with these exceptions. If your order arrives damaged, you receive the wrong product, or a vial does not match the certificate of analysis published for its lot, email us within 7 days of delivery with your order number, the lot number and photos. We will replace the product or refund it, at our option. We may ask you to return the item or send us a sample for retesting. We can't accept returns of products that have been opened, reconstituted or stored outside the labeled conditions for any other reason.

08Referral program

Each account gets a referral code. A new researcher who registers with your code gets 10% off their first order. You earn 1 point for each dollar of merchandise they buy, on every paid order, and each point is worth $0.10 as a credit at checkout.

• Points are pending until the referred order is paid, and are removed if that order is cancelled or refunded.
• Points have no cash value, can't be transferred or sold, and can only be used on Ordino Research orders.
• You can't refer yourself, a colleague at your own organization, or anyone sharing your address or phone number. We may reverse points earned through referrals we believe break these rules.
• We may change or end the program at any time. Points already confirmed will stay usable for at least 90 days after notice.

09Prohibited conduct

You may not misrepresent your identity, age, affiliation or intended use; resell products for consumption or any unlawful purpose; use the Site in violation of law or these terms; or interfere with, scrape or try to gain unauthorized access to the Site or its systems.

10Intellectual property

The Site's content, including text, design, logos and our certificates of analysis, belongs to Ordino Research or its licensors. You may share certificates of analysis for products you bought, but you may not otherwise copy or reuse Site content without our written permission.

11Warranty disclaimer

We warrant only that each product, when shipped, meets the specifications in the certificate of analysis for its lot. Otherwise, the Site and products are provided “as is.” To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and noninfringement, and any warranty for human, animal, therapeutic or diagnostic use, all of which are prohibited.

12Limitation of liability

To the fullest extent the law allows, Ordino Research and its owners, employees and affiliates are not liable for indirect, incidental, special, consequential or punitive damages, or for any damages arising from misuse of the products. Our total liability for any claim is limited to the amount you paid for the product that gave rise to it.

13Indemnification

You agree to indemnify and hold harmless Ordino Research and its owners, employees and affiliates from claims, losses and expenses, including reasonable attorneys' fees, arising from your use of the products, your breach of these terms, or your violation of any law or third party right.

14Governing law

These terms are governed by the laws of the State of Utah, without regard to its conflict of law rules. Any dispute will be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to their jurisdiction.

15Changes and contact
